BY-LAWS
OF
THE SCOTTISH RITE RESEARCH SOCIETY


ARTICLE I
REGISTERED OFFICE AND AGENT

1. The Principal Place of Business of the Corporation, also called herein the Society, shall be at 1733 16th Street N.W., Washington, D.C. and the name of the initial Registered Agent in the District of Columbia is Reynold J. Matthews of the same address.

2. The Nebraska Registered Office of this Nebraska corporation, shall be at 332 Centennial Mall South, Lincoln, Nebraska, and the Nebraska Registered Agent is Warren D. Lichty of the same address.

ARTICLE II
MEMBERS

1. Memberships shall be Regular or Special. When not specified, reference herein to Members and Memberships shall mean Regular Members. Regular Mem-bership in the corporation shall consist of persons who are Scottish Rite Masons in good standing who have paid the initiation fee and annual dues as pro-vided in these by-laws.

2. The number of regular members of this corporation shall never be less than seven (7).

3. Any member of the Corporation may withdraw from membership by resig-nation in writing, addressed to the Secretary of the corporation. Resignation from membership by any person who is also an officer or a member of the Board of Directors shall automatically constitute a resignation by such person of his corporate office and his membership on the Board of Directors.

4. Membership in the corporation shall be personal and shall not be trans-ferable or assignable. Membership shall terminate upon failure to pay the cur-rent dues as established herein, to the corporation, or with the death or change in the status of the member from being a Scottish Rite Mason in good standing. In the event that any such member shall thereafter reinstate himself to be a Scot-tish Rite Mason in good standing, effective with such change in the status of mem-bership, as aforesaid, such person shall again become a member of the cor-por-ation, provided that his current dues to the corporation are also paid in full at the time.

5. Each Regular Member shall be entitled to one vote in person or by proxy on each matter submitted to the vote of the members.

6. Special Memberships shall be available to libraries, Lodges, persons and organizations desiring to receive the publications of the Society. Fees and dues for Special Members shall be the same, and be payable the same as for Regular Members. Special Members shall not be entitled to vote, hold any office or membership on the Board of Directors or Committees, or be heard on the floor at Member's meetings, however their written questions and correspondence relating to the society shall be considered in due course and answered by the Board of Directors. Special Members shall only be entitled to receive Society publications during their good standing in the same manner as hereinafter provided for in the case of Regular Members.

ARTICLE III
REGULAR MEMBERSHIP, FEES AND DUES

1. As a prerequisite to Regular Membership, an applicant must present his appli---cation for membership on a form prescribed by the Society, accompanied by payment of the necessary initiation fee together with dues for the current year.

2. During calendar years 1991 and 1992, the initiation fee shall be one hun-dred dollars ($100), which shall entitle such person to be listed on the charter and to be a charter member of the Society.

3. Commencing on January 1, 1993, the initiation fee shall be thirty-five dol-lars ($35).

4. There shall be no annual dues required for calendar year 1991.

5. Commencing on January 1, 1992, the annual dues shall be thirty-five dollars ($35), payable at the beginning of that and every year. A member's dues for the current year must be paid in order for him to be in good standing or to attend meetings, submit articles, vote, hold office or membership on the Board of Directors, or to receive Society publications during said year.

6. A member's dues shall be delinquent on the last day of the calendar year, and he shall be automatically suspended from membership on such date if his dues remain unpaid.

7. To be reinstated, a suspended member must submit a petition for rein-state-ment accompanied by payment of the current years dues. Reinstatement shall not entitle the member to receive publications which were issued during the time he was not in good standing or suspended, provided however, that this shall not prevent a reinstated member from purchasing from the Society any publi-ca-tions which were issued during such time, if such publications are, at the time, on hand and available. All decisions of the Society regarding filling of orders and availability of material, in such cases, shall be final.
